Optimitz Partner Program Terms (Creator Code + Revenue Share)

1) Acceptance of These Terms
These Optimitz Partner Program Terms ("Terms") are a legal agreement between you ("Partner", "you") and Optimitz ("Company", "Optimitz", "we", "us").
By applying to, joining, receiving, accessing, using, or promoting with a Creator Code/referral link, or otherwise participating in the Optimitz Partner Program ("Program"), you agree to these Terms without change. If you do not agree, do not participate.
2) Eligibility; Program Access
You may participate only if you (a) are at least 18 years old and legally able to enter into contracts, and (b) comply with these Terms and applicable law/platform rules.
We may accept, reject, suspend, or remove any Partner from the Program at our discretion.
3) Definitions
Creator Code: A unique code and/or tracking link assigned to you.
Referred Customer: A user who subscribes using your Creator Code (or otherwise attributed to you under Section 7).
Qualified Subscription Payment: A subscription payment that is successfully processed, not refunded/charged back/reversed, not fraudulent, and attributed to you.
Net Receipts: Amounts actually received by Optimitz from Apple (or its payment processor) for Qualified Subscription Payments after platform fees/commissions, refunds, chargebacks, and applicable taxes/withholding.
Commission Period: Twelve (12) months from a Referred Customer's first Qualified Subscription Payment, unless we state otherwise in writing.
Active Paying Subscriber: A Referred Customer with an active paid subscription that is not in a refund/chargeback state and has made at least two (2) successful subscription payments.
4) Audience Offer (Discount)
Referred Customers may receive an audience discount we specify (currently 50% off for 12 months with your Creator Code) ("Audience Offer").
The Audience Offer is subject to availability, eligibility rules we set, and platform mechanisms/limitations (including Apple subscription offer codes and any restrictions imposed by Apple or other platforms). We may modify, suspend, or withdraw the Audience Offer where required to comply with platform rules, legal requirements, or technical constraints, and will use reasonable efforts to provide notice where practicable.
5) Revenue Share (Commission)
5.1 Base: 25% of Net Receipts for Qualified Subscription Payments during the Commission Period.
5.2 Tier: 30% of Net Receipts once you reach 10 Active Paying Subscribers, applied to Qualified Subscription Payments going forward (unless we state otherwise in writing).
5.3 No Other Compensation: No flat fees, production fees, expenses, or paid ad usage fees unless separately agreed in writing.
6) Partner Obligations (Compliance + Disclosures)
You must promote Optimitz honestly and in a manner that does not mislead customers.
6.1 Required Disclosures
You must clearly and conspicuously disclose your commercial relationship with Optimitz in each promotion (e.g., "ad", "affiliate", "I earn a commission", or equivalent) in accordance with applicable law and platform rules. Disclosures must be easy to notice (e.g., early in captions and visible on-screen in video).
6.2 Prohibited Activities
You must not:
- use spam, bots, fake engagement, or deceptive practices;
- make medical claims (diagnose/treat/cure/prevent disease);
- misrepresent yourself as Optimitz staff/agent;
- bid on Optimitz trademarks in paid search unless approved in writing;
- violate platform rules or applicable law.
7) Tracking and Attribution
7.1 Tracking Methods
Attribution may be determined by our systems, including Creator Code entry, offer code redemption, deep links/deferred attribution, and other reasonable methods.
7.2 Our Records Govern
Our records govern unless you provide reasonable evidence of an error; we will review disputes in good faith.
7.3 Tracking Limitations
We are not responsible for tracking failures caused by platform limitations, privacy settings, device settings, link stripping, ad blockers, user error, or third-party changes.
7.4 Conflicting Attribution; One Partner Per Customer
If a customer uses multiple codes/links or is associated with more than one partner, we attribute that customer to one partner only based on our records and rules in effect at the time. Unless we specify otherwise, attribution is based on the first successfully applied Creator Code at the customer's initial subscription purchase.
7.5 No Switching
Attribution will not be changed due to later use of another partner's code/link, except to correct errors, prevent fraud/abuse, or comply with law/platform rules.
7.6 Cancellation and Re-Subscription
If a customer cancels and later re-subscribes, attribution is determined at re-subscription under our rules and records. Unless we specify otherwise, the re-subscription is treated as a new referral only if your Creator Code is used again (or the customer is otherwise attributed to you at re-subscription).
8) Payments
Payout schedule: Monthly, within 30 days after month-end (unless we state otherwise).
Minimum threshold (optional): We may hold payouts until your balance reaches [£50/£100].
Payment method: Wise / PayPal / bank transfer / other supported methods.
Taxes: You are responsible for taxes; we may withhold as required by law.
Adjustments: We may deduct amounts due to refunds, chargebacks, reversals, fraud, or incorrect attribution.
8.1 Withholding / Review
We may withhold or delay payouts where we reasonably believe (a) the Program has been abused, (b) there is suspected fraud, chargeback risk, or policy non-compliance (including disclosure failures), or (c) we need to verify attribution or payout details. We will use reasonable efforts to resolve reviews promptly.
9) Brand Use
We grant you a limited, revocable, non-transferable license to use Optimitz trademarks and approved assets solely to promote Optimitz under the Program while you are participating and following any brand guidelines we provide. You must not modify our logos or imply endorsement beyond the Program.
10) Content Ownership and Usage
You own your content.
We may repost your content organically on Optimitz-owned channels only with your written consent (including DM/email consent). Any paid advertising usage (including whitelisting/Spark Ads/paid social) requires a separate written agreement.
11) Data Use and Privacy
You must not collect, scrape, store, sell, or misuse any customer personal data in connection with the Program. If you receive any non-public information from us, you must keep it confidential and use it only for Program purposes.
12) Confidentiality
Non-public information (roadmap, metrics, conversion data, payout data, tracking specifics, etc.) is confidential and must not be disclosed without our prior written consent, except as required by law.
13) Termination
We may suspend or terminate your participation immediately if we reasonably believe you breached these Terms, engaged in fraud/deception, failed to disclose properly, harmed Optimitz's reputation, or violated law/platform rules.
You may stop participating at any time by written notice and ceasing promotion/use of our assets.
Effect of termination: We will pay commissions earned on Qualified Subscription Payments received before termination, and for Referred Customers acquired before termination during their remaining Commission Periods, unless termination was for fraud or material breach (in which case we may withhold unpaid commissions attributable to the breach).
14) Disclaimers
The Product and Program are provided "as is." We do not guarantee earnings, conversions, or performance.
15) Indemnity
You agree to indemnify and hold Optimitz harmless from claims arising out of your content or promotions, including failure to disclose, misleading claims, infringement of third-party rights, or violations of law/platform rules.
16) Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Our total liability related to the Program will not exceed the commissions paid or payable to you in the [3/6] months prior to the event giving rise to the claim.
17) Independent Contractor
You are an independent contractor. Nothing creates an employment relationship, partnership, joint venture, or agency.
18) Variation (Company Right to Vary)
All parties agree that the Company may vary these Terms by providing written notice of such variation, and any such variation will take effect on the date specified in that notice. Written notice includes email and/or posting an updated version of these Terms on optimitz.com with an updated Effective Date and Version. (This approach is consistent with how major programs handle updates via continued participation.)
19) No Additional Terms; Precedence
You may not impose additional or different terms (including via emails, invoices, purchase orders, or platform messages). Any such terms are void unless Optimitz expressly agrees in writing. If there is a conflict, these Terms prevail unless Optimitz agrees otherwise in writing.
20) Governing Law
These Terms are governed by the laws of [England & Wales / Delaware / UAE / other], and disputes will be resolved in the aforementioned courts, unless we mutually agree arbitration in writing.
21) Miscellaneous
Assignment: You may not assign these Terms without our prior written consent.
Severability: If any provision is unenforceable, the rest remains in effect.
Waiver: Failure to enforce a provision is not a waiver.
Survival: Sections relating to payments owed, confidentiality, indemnity, limitation of liability, and governing law survive termination.
